These Terms of Service ("Terms") govern your access to and use of https://yaxisadvisory.com/ and establish the general terms applicable to your interaction with YAxis Advisory Ltd. ("YAxis Advisory", "YAxis", "we", "us or "our").
By accessing or using our website, you acknowledge that you have read and understood these Terms.
If you enter into a separate written agreement with YAxis Advisory, including a Master Services Agreement, Engagement Letter, Statement of Work, Service Agreement, NDA or Data Processing Agreement, that agreement will govern the relevant professional relationship. In the event of a conflict, the specific signed agreement will prevail over these website Terms.

The precise scope of services will always be determined by the applicable proposal, quotation, engagement letter, Statement of Work or other written agreement.
3. Website Use
You may use our website for lawful purposes and in accordance with these Terms.
You must not:

- interfere with the operation of our website;
- introduce malware, viruses or harmful code;
- conduct unauthorised security testing;

Where you request our services, we may provide a proposal or quotation.

7. Client Responsibilities
Clients are responsible for providing accurate, complete and timely information.
Clients must:
- provide information reasonably required to perform the agreed services;
- provide appropriate system access;
- provide accurate accounting and business records;
- provide timely approvals;
- notify us of relevant changes;
- maintain appropriate internal controls;
- review deliverables;
- make final business decisions; and
- comply with applicable laws and regulations.
We are not responsible for consequences arising from:
- inaccurate information;
- incomplete information;
- delayed information;
- unauthorised information;
- incorrect client instructions; or
- client decisions contrary to our recommendations.
8. Financial Models, Forecasts and Projections
Financial models, budgets, forecasts, cash-flow projections, cash-burn calculations and scenario analyses depend on assumptions and information available at the time they are prepared.
Actual results may differ materially from projected results.
We do not guarantee that:
- projected revenue will be achieved;
- cash burn will remain within forecast;
- funding will be obtained;
- an investment will succeed;
- a business will achieve a specific valuation; or
- actual financial performance will match a model or forecast.
Unless expressly agreed otherwise, our models and forecasts are decision-support tools rather than guarantees of future performance.
9. Accounting and Financial Reporting Services
Where we prepare accounting records, management accounts or financial statements, the scope of our work will be determined by the relevant engagement.
Unless specifically agreed:
- we do not provide a statutory audit opinion;
- we do not independently verify every underlying transaction;
- we do not guarantee that a regulator or tax authority will accept a filing;
- we do not guarantee that financial statements will be free from all errors;
- we do not assume management responsibility for the client's business; and
- the client remains responsible for final approval of financial information and filings.
10. Tax, Payroll and Regulatory Support
Where tax, payroll, VAT, statutory or regulatory assistance is included in our services, the applicable engagement will define the scope.
Unless expressly included:
- YAxis does not provide legal advice;
- YAxis does not guarantee tax outcomes;
- YAxis does not guarantee regulatory approval;
- YAxis does not guarantee that penalties will not arise;
- YAxis does not assume responsibility for statutory obligations that remain with the client; and
- clients remain responsible for providing complete and accurate information.
Where professional advice from a licensed lawyer, tax adviser, auditor or other regulated professional is required, we may recommend that the client obtain such advice.
11. Client Approval and Responsibility
Unless otherwise expressly agreed, the client retains responsibility for:
- approving financial statements;
- approving payments;
- approving payroll;
- approving tax filings;
- approving budgets;
- approving financial models;
- approving management decisions;
- maintaining appropriate internal controls; and
- making final business decisions.
Our role is to provide the agreed professional support and information.
12. Intellectual Property
Unless otherwise agreed:
YAxis intellectual property
YAxis retains ownership of:
- website content;
- YAxis branding;
- logos;
- templates;
- methodologies;
- internal procedures;
- frameworks;
- systems;
- processes;
- generic tools;
- know-how; and
- pre-existing intellectual property.
Client information
The client retains ownership of information and materials provided to YAxis.
Client-specific deliverables
Subject to payment of applicable fees and the terms of the relevant engagement, the client may use final deliverables created specifically for that client for its internal business purposes.
Specific intellectual-property rights may be established in the applicable engagement agreement.
13. Confidentiality
We recognise that our services involve sensitive financial, commercial, operational and personal information.
We will maintain confidentiality in accordance with:
- applicable contractual obligations;
- NDAs;
- engagement agreements;
- data-processing agreements; and
- applicable law.
Our general security and confidentiality practices are described in our Security & Confidentiality Policy.
14. Data Protection
Our processing of personal information is governed by our Privacy Policy.
Where we process personal information on behalf of a client, the client may act as the controller and YAxis may act as a service provider or processor.
Where required, the parties may enter into a separate Data Processing Agreement.
15. Third-Party Platforms
Our services may depend on third-party systems and platforms, including:
- Google Workspace;
- Xero;
- QuickBooks;
- Microsoft Excel;
- Power BI;
- payroll systems;
- cloud storage;
- communication systems;
- video-conferencing systems; and
- other client-selected or YAxis-selected technology.
Third-party providers are responsible for their own systems and services.
We are not responsible for failures caused solely by third-party systems outside our reasonable control.
16. Fees and Payment
Fees and payment terms will be specified in the relevant proposal, quotation, engagement agreement or invoice.
Unless otherwise agreed:
- fees are payable according to the agreed payment schedule;
- invoices may include applicable taxes;
- approved third-party costs may be charged separately;
- overdue invoices may result in suspension of services; and
- the client remains responsible for applicable bank or payment-processing charges.
17. Suspension of Services
We may suspend services where:
- invoices remain materially overdue;
- required information is not provided;
- required system access is unavailable;
- the client materially breaches the agreement;
- continuing the engagement creates a legal or regulatory concern;
- continued processing creates an unreasonable security risk; or
- circumstances outside our reasonable control prevent service delivery.
Where reasonably practicable, we will provide notice before suspension.
18. Termination
Termination of a professional engagement will be governed by the relevant engagement agreement.
Where no specific termination provisions exist, either party may terminate the engagement by providing reasonable written notice, subject to applicable law.
Termination does not affect:
- fees already earned;
- payment obligations;
- confidentiality obligations;
- intellectual-property rights;
- data-protection obligations; or
- other provisions intended to survive termination.
19. Limitation of Liability
To the maximum extent permitted by applicable law, YAxis Advisory will not be liable for:
- indirect losses;
- consequential losses;
- loss of profits;
- loss of anticipated savings;
- loss of business opportunities;
- loss arising from business decisions;
- loss caused by inaccurate information supplied by the client;
- loss caused by third-party platforms; or
- losses arising from events beyond our reasonable control.
Any liability relating to professional services will be governed primarily by the applicable engagement agreement.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
20. Indemnification
To the extent permitted by applicable law, a client may be required to indemnify YAxis Advisory against third-party claims arising from:
- unlawful information supplied by the client;
- material inaccuracies in client-provided information;
- misuse of YAxis deliverables;
- the client's breach of applicable law;
- the client's breach of contractual obligations; or
- unauthorised use of our services.
Such indemnification will not apply to the extent the relevant claim resulted from YAxis's own negligence, wilful misconduct or other liability that cannot legally be excluded.
21. Force Majeure
We will not be responsible for delays or failures caused by circumstances beyond our reasonable control.
Such circumstances may include:
- natural disasters;
- war;
- terrorism;
- civil unrest;
- government action;
- telecommunications failure;
- major technology outages;
- cyber incidents affecting third-party infrastructure;
- pandemic or similar events;
- power outages; or
- other events that could not reasonably have been prevented.
22. No Guarantee of Business Results
Our services are designed to support better financial management and business decision-making.
However, we do not guarantee:
- profitability;
- revenue growth;
- fundraising;
- investment returns;
- business valuation;
- cash-flow outcomes;
- tax savings;
- regulatory outcomes;
- business survival; or
- any particular financial result.
Business results depend on numerous factors outside our control.
23. Third-Party Beneficiaries
Unless expressly agreed otherwise, no person who is not a party to the applicable agreement has the right to enforce its terms.
24. Changes to These Terms
We may modify these website Terms from time to time.
The revised version will be published on our website with an updated effective date.
Continued use of the website after publication of revised Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.
25. Governing Law
These website Terms shall be governed by and interpreted in accordance with the laws of Bangladesh, subject to mandatory rights or protections that may apply under the laws of another jurisdiction.
For professional services, the governing law and dispute-resolution provisions contained in the applicable engagement agreement will apply.
26. Dispute Resolution
We encourage clients and website users to contact us first so that concerns can be addressed commercially and promptly.
Where a professional engagement contains specific dispute-resolution provisions, those provisions will apply.
27. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.
28. Entire Agreement
These Terms govern general use of the YAxis website.
They do not replace or override:
- Master Services Agreements;
- Engagement Letters;
- Statements of Work;
- NDAs;
- Data Processing Agreements;
- Service Level Agreements; or
- other written agreements entered into between YAxis and a client.
